These Terms constitute a legally binding agreement between you and Havteq Solutions Private Limited ("Company," "we," "us," or "our").

If you do not agree to these Terms, please do not use our Platform. We reserve the right to modify these Terms at any time, and your continued use of the Platform constitutes acceptance of any changes.

2. Description of Service

TenderSpace is a tender aggregation and information platform that provides:

• Access to government tender information from various sources across India
• Search, filter, and discovery tools for tender opportunities
• Automated tender alerts and notifications
• Data export capabilities
• Watchlist and saved search features
• Subscription-based premium features

We aggregate publicly available tender information from government websites and other public sources. We do not create, manage, or control the tender processes themselves.

3. User Accounts and Registration

3.1 Account Creation

To access certain features of the Platform, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Eligibility

You must be at least 18 years old to create an account and use our services. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3.3 Account Security

You agree to:

• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Not share your account credentials with others
• Not create multiple accounts for fraudulent purposes
• Accept responsibility for all activities under your account

4. Subscription Plans and Payments

4.1 Subscription Plans

We reserve the right to modify, discontinue, or change pricing for subscription plans at any time with prior notice to existing subscribers.

4.2 Payment Terms

By subscribing to a paid plan, you agree to:

• Provide valid payment information
• Authorize us to charge your payment method for subscription fees
• Pay all applicable taxes, including GST as per Indian tax laws

4.3 Billing and Renewals

Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You will be charged at the beginning of each billing period. We will provide notice of renewal charges via email.

4.5 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will continue to have access to paid features until the end of your billing period.

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Platform for lawful business purposes related to discovering and tracking government tender opportunities. You agree to use the Platform in compliance with all applicable laws and regulations.

5.2 Prohibited Activities

You agree NOT to:

• Scrape, crawl, or use automated tools to extract data beyond your subscription limits
• Resell, redistribute, or commercialize our data without authorization
• Reverse engineer, decompile, or disassemble any part of the Platform
• Attempt to gain unauthorized access to our systems or other user accounts
• Upload malware, viruses, or malicious code
• Use the Platform for illegal activities or fraud
• Violate any intellectual property rights
• Abuse, harass, or harm other users or our staff
• Create fake accounts or impersonate others
• Circumvent usage limits or access restrictions

6. Intellectual Property Rights

6.1 Our Rights

The Platform, including its design, code, features, branding, and compilation of tender data, is owned by Havteq Solutions Private Limited and protected by intellectual property laws. Our trademarks, service marks, and logos may not be used without our prior written consent.

6.2 Tender Data

The tender information we aggregate is sourced from publicly available government websites. While individual tender documents remain the property of the issuing government organizations, our compilation, organization, and presentation of this data is our intellectual property.

6.3 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes in accordance with your subscription plan. This license does not include any right to resell or commercial use beyond your own business needs.

7. Data Accuracy and Disclaimers

7.1 Data Accuracy

We strive to provide accurate and up-to-date tender information. However, we aggregate data from third-party government websites and cannot guarantee the accuracy, completeness, or timeliness of all information. We are not responsible for errors or omissions in the source data.

7.2 No Warranty

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.3 Verification Responsibility

You are responsible for verifying all tender information directly with the issuing organization before taking any action. We recommend always checking the official government website for final confirmation of tender details, deadlines, and requirements.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAVTEQ SOLUTIONS PRIVATE LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Platform
• Unauthorized access to or alteration of your data
• Statements or conduct of any third party on the Platform
• Any missed tender opportunities or inaccurate information
• Interruption or cessation of service

Our total liability shall not exceed the amount you paid for your subscription in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Havteq Solutions Private Limited, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of any third-party rights
• Your use or misuse of the Platform

10. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Platform. We may suspend, modify, or discontinue any part of the service at any time for maintenance, upgrades, or other reasons. We are not liable for any service interruptions or downtime.

11. Termination

11.1 Termination by You

You may terminate your account at any time by canceling your subscription and deleting your account through the Platform settings.

11.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

• You violate these Terms
• You engage in fraudulent activity
• Payment for your subscription fails
• We are required to do so by law
• We discontinue the service

11.3 Effect of Termination

Upon termination, your right to access the Platform ceases immediately. We may delete your data in accordance with our data retention policies. Any provisions of these Terms that should survive termination (including liability limitations, indemnification, and dispute resolution) will remain in effect.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. The courts of India shall have exclusive jurisdiction over any disputes.

12.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through a notice on the Platform. Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms. If you do not agree with the changes, you must stop using the Platform and cancel your subscription.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Havteq Solutions Private Limited regarding the use of the Platform.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
